BackChannelMedia Announces Transition From Early Stage to Commercialization Stage Company

As a result of this successful validation, the company is now moving from Early Stage to Commercialization Stage. During the Commercialization Stage, BackChannelMedia envisions this special click-through technology to become ultimately a mainstream tool for targeted, accountable and interactive television-based marketing.

The founder of the company, Michael Kokernak, has expressed his desire to focus on innovation and will now become the President of BCM Research. This new unit will seek to develop the next cycle of major innovation for BackChannelMedia. By its very nature, it will be closely networked to on-going innovations in the digital technology space and will have a long-term horizon. This unit will continue to be based in Boston, Massachusetts.

Daniel Hassan, who has been Chairman of the Board and Co-CEO since 2007, will now assume his previously planned transition to Chairman of the Board and CEO, effective June 15, 2009. All commercial functions and business units will report to Daniel Hassan in this executive capacity.

A commercial office is planned to be opened in the New York metropolitan region to further the company's commercial success and roll-out of its technology platform. This will give BackChannelMedia proximity to the world's largest cluster of media enterprises, as BackChannelMedia moves into its Commercialization Stage.

Both Messrs. Kokernak and Hassan will continue their roles as members of the Board of Directors of BackChannelMedia.
